Total Result of the option for the payment of the balance of the dividend in 2016 in shares

The mixed general Meeting, held on may 26, 2017, decided to set the dividend to be paid in respect of fiscal year 2016 to 2.45 euros per share, and has given to each shareholder the choice to receive the payment of the balance of the dividend in 2016 of 0.62 euro per share in cash or in new shares of the Company.

The option period was open from June 5, 2017 June 14, 2017 included. At the close of this period, 52% of rights were exercised in favor of the balance of the dividend for the year 2016 in shares.

17 801 936 new shares will be issued, representing 0.7% of the share capital of the Company on the basis of the existing share capital at the date of 31 may 2017. The issue price of new shares issued in payment of this balance has been set may 26, 2017 to 44,86€. This price is equal to the average of the first prices quoted during the twenty stock market sessions preceding the may 26, 2017, the date of the general shareholders Meeting, less the amount of the balance, and with a 5% discount.

The settlement, delivery of the shares and their admission for trading on Euronext Paris will occur on June 22, 2017. These actions will be immediate and will be fully assimilated to the shares already admitted.

The amount of the balance of the dividend for 2016 to be paid in cash to shareholders who have not selected the option of payment of the balance of the dividend, 2016 in shares amounted to 731 million euros and will be paid as from June 22, 2017.
