Serstechs annual general meeting was held on 9 may 2017.
In accordance with the board’s proposal, it was decided that no dividend would be paid.
The board of directors and the managing director were discharged from liability for the 2016 administration.
In accordance with the nomination committee’s proposal it was resolved that the board of directors shall consist of four members. Re-elected Thomas Pileby and Sophie Persson and elected Sverker Göranson and Anna Werntoft to the board of directors for the period until the end of the next annual general meeting. Selected Sophie Persson chairman of the board. It was furthermore resolved that the remuneration to the members of the board shall be paid a total of 300,000 crowns, to be distributed with 90,000 sek to the chairman of the board and 70,000 sek each to other members. Per-Arne Petersson was re-elected as auditors.
The meeting decided, in accordance with the nomination committee’s proposal, that the nomination committee shall consist of representatives for at the end of August 2017, the three largest shareholders.
The meeting finally decided, in accordance with the board’s proposal, amending § 9, and the introduction of a new § 10 of the company’s articles of association, with the purpose to adapt the articles of association to the as rules for calling meetings as applicable to public, listed companies.
