Publicis Groupe Combined General Meeting 2016

The Mixed General Meeting of Publicis Groupe [Euronext Paris : FR0000130577, CAC 40] was held this day under the direction of Mrs. Elisabeth Badinter, Chair of the Supervisory Board. The number of shareholders participating in this General Assembly has been particularly high, and nearly 70 % of the share capital was present or represented. The activity of 2016 and the strategy of the Group have been presented by Maurice Lévy, Chairman of the management Board. All the resolutions were approved by shareholders. In particular, shareholders approved the payment of a dividend carried to 1.85 euro per share. The payment of the dividend may be made, at the choice of either in new shares or in cash. The option for the payment of the dividend in shares must be exercised from 6 to 26 June 2017, inclusive. The issue price of the shares distributed in payment of the dividend was set at 61,14 € per share. The dividend detachment will take place on June 6, 2017. The payment of the dividend in cash and delivery of new shares will take place on 4 July 2017.

The shareholders approved by a large majority the appointment of Mr. Maurice Levy to the Supervisory Board as well as his compensation as Chairman of the Supervisory Board.

The Supervisory Board, which met following the General Assembly, has unanimously approved the proposal made by Madame Elisabeth Badinter, to appoint Mr. Maurice Lévy Chairman of the Supervisory Board, Ms. Elisabeth Badinter being unanimously elected as Vice-Chair of the Board.

The Supervisory Board has confirmed the appointment of Mr. Arthur Sadoun and Mr. Steve King as members of the management Board, and appointed Mr. Arthur Sadoun, Chairman of the Board, succeeding Mr. Maurice Lévy in this function. The management Board now comprises 4 members: Arthur Sadoun (Ceo), Steve King (CEO, Publicis groupe Media), Anne-Gabrielle Heilbronner (Secretary General) and Jean-Michel Etienne (Assistant Director General, Finance Group).

In this crucial moment in the history of the Publicis Group, which combines the estate of Mr. Maurice Lévy and the transformation of the Group, the Supervisory Board has asked Mr. Maurice Lévy to accompany actively the new Board in this phase of a gradual transition. And more particularly, to continue with the major customers of the Group, the relationship of trust committed there are often several decades, to be able to be consulted by the members of the management Board on all significant events, coordinate efforts with the public authorities in the countries in which we operate Publicis, and for the benefit of the Group of his 46 years of experience.

The Supervisory Board has taken note of the resignation of Mr. Jerry Greenberg of his mandate of member of the Supervisory Board for personal reasons. Founder of Sapient, he had joined the Supervisory Board of Publicis Groupe in 2015 at the time of the acquisition of Sapient. He has accompanied the Group during any phase of integration of Sapient, the creation of the Publicis.Sapient and the implementation of ” The Power of One “. The Supervisory Board wishes to thank him warmly for his commitment and for his efficient collaboration.

Following the renewal of the mandates of mr. Simon Badinter and Jean Charest came to an end, the Supervisory Board now has 12 members, 6 men and 6 women ; 6 members are independent and 4 are of foreign nationality. Enriched with expertise and diverse, its composition is the following : Mesdames Élisabeth Badinter (Vice-Chair), Sophie Dulac Claudine Bienaimé, Marie-Josée Kravis, Marie-Claude Mayer Véronique Morali, and Messrs Maurice Lévy (Chairman), Simon Badinter, Jean Charest Michel Cicurel, Thomas H. Glocer, and André Kudelski.

The Supervisory Board is composed of four committees whose composition has been adjusted to take account of the changes made within the Board: the nomination Committee that consists of Elisabeth Badinter (Chair), Michel Cicurel, Jean Charest, Marie-Josée Kravis, and Maurice Lévy ; the remuneration Committee which comprises Michel Cicurel (President), Claudine Bienaimé, Véronique Morali, and Thomas H. Glocer ; the audit Committee consisting of Jean Charest (President), Claudine Bienaimé, Véronique Morali and André Kudelski ; and the Committee risks and strategies, which includes Marie-Josée Kravis (President), Elisabeth Badinter Marie-Claude Mayer, Thomas H. Glocer, and Maurice Lévy.

During the General Assembly, Madame Elisabeth Badinter made a special tribute to Mr. Maurice Lévy, who has devoted 46 years to make the agency founded by his father, Marcel Bleustein-Blanchet, the 3rd world group communication while preserving the legacy and values that have accompanied the Publicis Group during 91 years.
