Following the acquisition, on June 9, 2017, 67.2%[1] of the capital of the company FUTUREN (FTRN), EDF Energies Nouvelles has filed a draft offer document with the Autorité des Marchés Financiers (AMF) in order to propose a tender offer simplified for all shares and convertible bonds (OCEANES) of the company FUTUREN not held by the group EDF Energies Nouvelles.

This offering will be available at a price of 1.15 per share and 9,37 (ex-coupon) per OCEANE, or on the same terms as the acquisition completed on June 9, 2017 with the previous majority shareholders of FUTUREN.

FUTUREN has also filed this day with the AMF a draft note in response to the proposed tender offer simplified, initiated by EDF Energies Nouvelles, which contains, in particular, the reasoned opinion of its board of directors meeting held on 19 June 2017, according to which, on the basis of the conclusions of the cabinet Finexsi[2] and the recommendations of the committee of independent directors, this offer is in the best interest of the company, its employees, and its shareholders and holders of BONDS.

The offer and the two projects of note are still subject to review by the AMF.
