Paris, June 27, 2017 Baker McKenzie has advised Qatar Luxury Group, the majority shareholder of Le Tanneur & Cie, a company listed on Euronext Paris, in the framework of the proposed recapitalisation and development of Le Tanneur & Cie supported by Tolomei Participations, in the amount of 13.3 million euros, after which Tolomei Participations is expected to become the majority shareholder of Le Tanneur & Cie.

This recapitalization project and development consists of three main operations :
a first capital increase in cash of 10.8 million euros that will be reserved for Tolomei,
a mandatory public tender offer simplifiée (“OPAS”) initiated by Tolomei, and
a second capital increase in cash with maintenance of preferential subscription rights, for an amount initially of eur 2.5 million.
The group fine leather Le Tanneur & Cie, strong of its know-how centennial is a leading player in the sector of leather goods in france, with 551 employees and 53.8 million euros of turnover. The Group creates, manufactures and distributes two brands : Le Tanneur and Soco. It has a network of about fifty boutiques in France and abroad, 80 “corners” in major department stores, a website and a network of over 300 retailers in multi-brand.
Tolomei Participations has been established in 2004. Tolomei Participations is the holding company at the head of the group Tolomei, one of the French leaders in fashion accessories and leather goods. French manufacturer for a variety of brands (French and foreign), the group Tolomei has also developed expertise in the management of brands.

For its part, Tolomei Participations was advised by Degroux Brugère with Augustin Fleytoux, partner, and Cinnamon Magdane, collaborator.
