Appointment of an independent expert by the Board of directors of FUTUREN

Following the announcement on may 11, 2017 the signing of a firm agreement and final between EDF Energies Nouvelles and the concert of the holders of a majority of FUTUREN, the Board of directors of the Company has designated, on the 16th of may 2017, the firm Finexsi, represented by mr. Olivier Peronnet and Lucas Robin, in the capacity of independent expert, who will be in charge of issuing, in pursuance of the provisions of the article 261-1 of the general regulation of the Autorité des marchés financiers, a report on the financial conditions of the public offer of purchase simplified, which would be filed by EDF Energies Nouvelles after the completion of the acquisition to the concert of the holders of a majority of 61.6% of the common shares (at a price of € 1.15), and 96.0%, respectively, of the convertible bonds (at a price 9.37 € ex-coupon) of FUTUREN.

The transaction is subject to the approval of the authority of the German competition.

Subject to this approval, the report of the independent expert and the reasoned opinion of the Board of directors of the FUTUREN will be included in the draft note in response, which will be established by FUTUREN and which will be submitted to the visa of the Autorité des marchés financiers according to the modalities provided by the applicable regulations.
