At the request of the AMF, Groupe PAROT attracts the attention of the public on the ad hoc communication of auditors[1] indicating the existence of two irregularities. The one she wears on financial advances granted by Group PAROT to its parent company, AV Holding company, to purchase shares of the company’s Group Parot in the framework of its ipo. These advances have been made in accordance with the conventions of cash between the two companies, but in violation with article L. 225-216 of the Code of Commerce. Upon identification of this deficiency within the framework of the audit of the accounts 2016, AV Holding company has proceeded with the full repayment of these advances. The other concerns the payment by the company of all of the variable remuneration of the chairman, President and Chief executive officer for the fiscal year 2016 before the final accounts of the year which has confirmed the amount to be paid. This calendar, in line with the practices of previous years, was in contradiction with the new rules of remuneration of the Chairman and ceo set by the Board of directors in the context of the admission of the shares of the company on Alternext Paris. The company is committed to comply with these new rules as early as the current fiscal year.
