The ADP Group announces it has entered into exclusive negotiations with the group Samsic in view of the proposed disposal of 80% equity interest in its subsidiary Hub Safe, a specialist in airport security.

This project marks the wish of the ADP Group to entrust the control Hub Safe with a partner that would place the business of airport security at the heart of its strategy and which could enhance its expertise and its technical and financial resources in order to support its development and sustainability.

Born in Britain in 1986, Samsic is a family-run company became a group leader of the business service in Europe, in the field of cleanliness, safety and human resources. Samsic has continued to diversify to complement its range of services to meet the needs of its customers. A turnover of 1.5 billion euros, it employs more than 70 000 people.

As is the wish of the ADP Group, the proposed sale will provide the continuation in force of existing contracts entered into between ADP and Hub Safe, contracts will continue to exist up to their words.
On this basis, the ADP Group will study, within the framework of these exclusive negotiations with Samsic, the conditions under which such an assignment would be possible.

In any event, this project will not be implemented at the end of the information-consultation of staff representative bodies competent, subject to the finalization of definitive agreements satisfactory to the parties, and to obtain the approvals necessary prior to the operation, including in particular the authorization of the Minister of Economy and finance in accordance with ordinance no. 2014-948 of 20 August 2014 on governance and capital transactions for companies with public participation, as well as the authorization of the Competition Authority on merger control.

The ADP Group builds, equips and operates airport platforms, among which are Paris-Charles de Gaulle, Paris-Orly and Paris-Le Bourget. In 2016, the group has worked through the Paris Airport more than 97 million passengers at Paris-Charles de Gaulle and Paris-Orly, 2.2 million tons of cargo and mail, and nearly 42 million passengers through airports managed abroad by its subsidiary ADP Management. Boasting an exceptional geographic location and a strong catchment area, the group is pursuing a strategy to develop its capacities and improve the quality of its services and intends to develop its retail and real estate. In 2016, the group’s turnover amounted to 2 947 million euros and net income of 435 million euros.
